Welcome to Kompound, a Service as a Solution (SaaS) provider offering AI-driven tools and automation services to financial advisors, wealth management firms, insurance and investment firms, funds, fund managers, and high-performing professionals globally. This document outlines the Terms & Conditions, Terms of Service (ToS), End User License Agreement (EULA), and Service Level Agreement (SLA) governing your use of our services. By accessing or using Kompound’s services, you agree to be bound by these agreements in their entirety.

Terms & Conditions

1. Acceptance of Terms

By subscribing to or using any Kompound services, you (“User,” “Customer,” or “You”) agree to these Terms & Conditions, as well as the incorporated Terms of Service, EULA, and SLA. If you do not agree, you may not use our services. These terms may be updated periodically, and continued use constitutes acceptance of the updated terms.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization. Kompound reserves the right to refuse service to anyone for any reason.

3. Global Operations

Kompound is a U.S.-based corporation providing services globally. All payments are in U.S. dollars (USD). While Kompound is not directly bound by specific regulatory bodies (e.g., SEC, FINRA, GDPR), we align our practices with regional and country-specific regulations to support compliance for our clients.

4. Modification of Terms

Kompound may modify these Terms & Conditions at any time. Updates will be posted on getkompound.com, and you will be notified via email or through the service dashboard. Your continued use after such changes constitutes acceptance of the new terms.

Terms of Service (ToS)

1. Services Provided

Kompound provides a SaaS platform offering:

• Data enrichment and analytics

• Workflow automation

• Lead generation

• Client management tools

• Easy-to-use dashboards and reports

These services leverage AI and automation to enhance productivity and decision-making for financial advisors, wealth management firms, insurance and investment firms, funds, fund managers, and high-performing professionals.

2. Subscription Plans and Payments

2.1 Subscription Types

• Annual Subscriptions (Single Payment): Paid in full upfront in USD at the time of purchase.

• Annual Subscriptions (Monthly Payments): A 12-month commitment with automated monthly payments in USD.

• Month-to-Month Subscriptions: Single monthly payments in USD with no long-term commitment.

• Single Products/Orders: One-time payments for specific services or products.

2.2 Payment Terms

• Payments are processed via credit/debit card and are due on the 1st day of the billing cycle (unless otherwise specified by a promotional period).

• Annual subscriptions (single payment) are paid in full upfront.

• Annual subscriptions (monthly payments) commit to 12 months of automated billing.

• Month-to-month and single orders are billed in advance for the upcoming service period.

2.3 Renewals

• All subscriptions (annual and month-to-month) automatically renew at the same term as the original order unless cancelled.

• Renewals are billed to the card on file at the original subscription price, provided payments remain in good standing.

2.4 Cancellations

• Annual Subscriptions (Single Payment or Monthly Payments): Must be cancelled in writing at least 31 days prior to the renewal date. Cancellations with cause may be prorated and refunded on a case-by-case basis for single-payment plans; monthly payment plans may be terminated without recourse.

• Month-to-Month Subscriptions: May be cancelled at any time during the current month without recourse.

• Single Products/Orders: Non-renewable and non-refundable.

2.5 Pricing Adjustments

Prices are subject to change. Existing subscriptions will renew at the original price as long as payments are current and in good standing.

2.6 Non-Refundable Services

Month-to-month subscriptions and single orders are non-refundable unless otherwise specified.

3. User Obligations

• Prohibited Actions: You may not reverse-engineer, decompile, or disassemble Kompound’s software. Account sharing is strictly prohibited. Use of the service for illegal purposes is forbidden.

• Compliance: You are responsible for ensuring your use of Kompound complies with applicable laws and regulations in your jurisdiction.

• Account Security: You are responsible for maintaining the confidentiality of your account credentials and notifying Kompound immediately of any unauthorized access.

4. Termination

• Kompound may terminate your account immediately, without refund or recourse, for violations including reverse-engineering, account sharing, or illegal use.

• Termination for illegal use may result in legal action for damages and penalties.

5. Privacy and Data

Kompound will not share or disclose personal details of your customers, their products, or preferences. We align with regional compliance standards to protect your data and that of your clients.

End User License Agreement (EULA)

1. License Grant

Kompound grants you a non-exclusive, non-transferable, revocable license to access and use our SaaS platform and software for your internal business purposes, subject to these terms.

2. Restrictions

• You may not copy, modify, distribute, sell, or sublicense the software.

• Reverse-engineering, decompiling, or attempting to access the source code is prohibited and grounds for immediate termination.

• Account sharing or use by unauthorized users is forbidden.

3. Ownership

All intellectual property rights in the software, including AI algorithms, dashboards, and automation tools, remain with Kompound. You retain ownership of your data input into the platform.

4. Updates and Maintenance

Kompound may update the software at its discretion. You will receive access to updates as part of your subscription.

5. Termination of License

The license terminates upon cancellation or termination of your subscription. You must cease all use of the software upon termination.

Service Level Agreement (SLA)

1. Service Availability

Kompound commits to a 99.9% uptime guarantee for its SaaS platform, excluding scheduled maintenance (announced at least 48 hours in advance) and unforeseen events beyond our control (e.g., force majeure).

2. Support

• Availability: Support is available via email or dashboard ticketing system, Monday–Friday, 9:00 AM–5:00 PM EST.

• Response Time: Initial response within 24 business hours; resolution times vary by issue complexity.

3. Performance

Kompound’s AI-driven tools (e.g., analytics, automation) are provided “as is.” We strive for accuracy but do not guarantee specific outcomes from AI outputs, including predictions or personalization.

4. Downtime and Remedies

• If uptime falls below 99.9% in a given month (excluding scheduled maintenance), you may request a prorated credit for the affected period, subject to review.

• Credits are capped at the monthly subscription fee paid.

5. Data Security

Kompound employs industry-standard encryption and security measures to protect your data. However, you are responsible for maintaining backups of your data.

General Provisions

1. Limitation of Liability

• Kompound’s liability is limited to the amount paid by you for the service in the preceding 12 months.

• Kompound is not liable for consequential, incidental, or indirect damages, including lost profits or data, even if advised of the possibility.

• AI-driven outputs (e.g., predictions, personalization) are provided “as is” without warranties of accuracy or reliability.

2. Disclaimers

• The services are provided “as is” and “as available” without warranties, express or implied, including fitness for a particular purpose.

• Kompound does not guarantee uninterrupted or error-free service.

3. Governing Law

These agreements are governed by the laws of the United States and the State of [Insert State of Incorporation], without regard to conflict of law principles.

4. Dispute Resolution

Any disputes arising from these agreements will be resolved through binding arbitration in [Insert City/State], under the rules of the American Arbitration Association.

5. Force Majeure

6. Entire Agreement
